Terms of Use.

1. Agreement to these terms

Worth Noting is provided by House of Laurenz, LLC (“House of Laurenz,” “we,” “us,” or “our”).

By downloading, accessing, or using Worth Noting, or, when prompted, by tapping Agree & Continue, you agree to these Terms of Use. If you do not agree to these Terms, do not use Worth Noting.

Our Privacy Policy explains how information is handled when you use the app, the Worth Noting website, purchases, iCloud features, or support.

Worth Noting is a general-audience app and is not directed to children under 13. You may not use Worth Noting if you are under 13. If you are 13 or older but not old enough to enter into a binding agreement where you live, a parent or legal guardian must agree to these Terms on your behalf.

2. App license

Worth Noting is licensed, not sold.

Your license to use Worth Noting is subject to Apple's Standard Licensed Application End User License Agreement and applicable App Store usage rules.

Apple's Standard EULA governs the license to and permitted use of the app. These Terms govern the additional matters described here between you and House of Laurenz, to the extent consistent with Apple's terms. If the two address the same issue inconsistently, Apple's Standard EULA controls with respect to the app license and Apple's applicable usage rules.

Subject to those terms and these Terms of Use, you may use Worth Noting on compatible Apple devices you own or control for your personal use or lawful business use.

Apple's Standard EULA also addresses matters such as copying, modification, redistribution and reverse engineering. We do not repeat those provisions here.

3. Free features and Worth Noting Pro

Worth Noting includes features available without charge, subject to the free entry limit shown in the app. Worth Noting Pro provides additional features through a monthly or annual subscription.

The particular features included in the free and Pro versions may change as Worth Noting evolves. Changes to the product do not give us ownership of your record.

If Pro ends

Ending a Worth Noting Pro subscription does not delete or hide the record you have already created.

After Pro ends:

• existing entries remain available to read, resurface, search and edit;
• manual backup and restore remain available;
• PDF export remains available using the free export options then offered by the app;
• information already stored in your record remains in the record;
• creating new entries is subject to the free-tier entry limit;
• Pro-only organization, additional-detail, document-customization and similar features may become unavailable; and
• automatic iCloud backup and multi-device sync stop.

When sync stops, each device keeps the record it already has. Devices no longer exchange changes and can therefore drift apart. If Pro is restored and sync is turned back on, the devices can resume exchanging changes, including edits and deletions made while they were apart.

4. Subscriptions, trials and billing

Worth Noting Pro subscriptions are purchased through the App Store.

The purchase screen shows the price, subscription period, features included, and the terms of any introductory offer or free trial available to you before you complete the purchase. Those terms, together with Apple's purchase confirmation, control the transaction.

If a free trial is offered and you do not want it to convert to a paid subscription, cancel it through your Apple Account at least 24 hours before the trial ends.

Subscriptions otherwise renew automatically until canceled, subject to Apple's applicable subscription terms.

You can manage or cancel your subscription through your Apple Account subscription settings.

Cancellation generally prevents a future renewal. It does not automatically refund a subscription period that has already been charged. Refund requests are handled by Apple under its applicable policies.

Deleting Worth Noting does not cancel an active subscription.

Apple processes subscription payments and controls billing, taxes, refunds and subscription-management procedures under its applicable terms and policies.

Restore purchases

Worth Noting has no user accounts. Each device checks your App Store purchase entitlement separately.

On another compatible device using the same Apple Account, Pro may be recognized automatically. If it is not, use Restore a purchase in Worth Noting.

Multi-device sync requires Pro to be recognized on each participating device.

5. Your record, backups and sync

Your record is stored locally by default

Your Worth Noting record is stored on your device by default.

House of Laurenz does not operate a server that holds your record and does not have an account password or recovery key for it.

You are responsible for maintaining access to your device and for keeping backups appropriate for information you want to preserve.

Manual backups

You can create a manual backup whether or not you subscribe.

After export, a manual backup is under your control. Worth Noting backup files are deliberately readable so that you can access your information without Worth Noting.

Protect a backup file as you would any other personal document.

iCloud features

Optional Pro features can use your own iCloud account for automatic backup and multi-device sync.

These features depend on Apple services, your Apple Account, available iCloud storage, device settings, software versions, connectivity and other conditions outside our control.

House of Laurenz does not hold a separate copy of the record stored in your iCloud account and cannot access, restore or delete that iCloud data for you.

Sync is not a backup

Sync copies changes between participating devices. Those changes include deletions.

If you delete an entry on one synced device, that deletion can be carried to your other synced devices.

Keep a separate backup of anything you may need to restore later.

Sync also depends on iCloud. We cannot guarantee that every change will upload, arrive on another device or arrive at a particular time. The app cannot always determine when an iCloud upload has failed.

A change that has not uploaded remains on the device that made it unless it is otherwise deleted or the device is lost, erased or becomes unavailable.

Before making changes that may affect your record

We strongly recommend creating a current manual backup before:

• deleting Worth Noting;
• replacing, resetting or erasing a device;
• installing beta operating-system software;
• deleting Worth Noting data from iCloud; or
• taking another action that may affect locally stored or iCloud-stored information.

If you delete Worth Noting data from iCloud, Worth Noting's automatic iCloud backup or multi-device sync may not become available again immediately. In unusual cases, those iCloud features may remain unavailable until the underlying iCloud storage issue is resolved.

Keep a current manual backup somewhere outside iCloud before deleting Worth Noting data from iCloud.

Files you create are yours

Backups and documents created from your record are yours to open, read, convert, store and use.

Nothing in these Terms restricts what you do with those files, subject to any rights other people may have in material you included in them.

6. Acceptable use

You may not use Worth Noting to:

• violate applicable law or another person's rights;
• interfere with, damage or attempt to bypass the app's security or technical restrictions;
• unlawfully access another person's device, account or data;
• distribute malicious code through the app or files created with it; or
• falsely represent that you are affiliated with, endorsed by or acting on behalf of Worth Noting or House of Laurenz.

You are responsible for the information and material you add to your record and for having any rights or permissions required for that material.

7. Intellectual property and your content

We own the app

Worth Noting, including its software, design, interface, icons, branding and other original material created for the app, is owned by House of Laurenz or its licensors and is protected by applicable intellectual-property law.

These Terms give you permission to use Worth Noting. They do not transfer ownership of the app or its intellectual property to you.

The Worth Noting name, our logos, and the related graphics, icons, and overall look and feel of the app are the trademarks and trade dress of House of Laurenz, whether registered or unregistered. All rights are reserved.

You keep your rights in your content

As between you and House of Laurenz, you retain whatever rights you have in the entries, notes, photographs, profile information and other content you create or add to Worth Noting.

We do not claim ownership of or a license to content simply because it is stored in Worth Noting, on your device or in your iCloud account.

In the ordinary operation of the app, House of Laurenz does not receive your record.

Content you send to support

If you deliberately send us part of your record, a screenshot, a backup or other content in a support or feedback message, you authorize us and the service providers that handle that message to process that material only as reasonably necessary to:

• respond to the request;
• investigate the issue;
• maintain appropriate support records;
• protect our rights; or
• comply with law.

Sending material to support does not transfer ownership of it to us.

8. Feedback

If you voluntarily send us product feedback, ideas or suggestions, you grant House of Laurenz a non-exclusive, perpetual, irrevocable, royalty-free right to use that feedback to develop and improve Worth Noting.

This permission applies to the feedback itself. It does not give us rights to the contents of your Worth Noting record.

We will not publicly attribute feedback to you or quote you as a testimonial without your permission.

9. Apple and other third-party services

Worth Noting depends on certain services we do not control.

These include:

• Apple services such as the App Store and iCloud;
• RevenueCat for subscription entitlement;
• Cloudflare for website delivery and support-email routing; and
• Google Workspace for support email.

Those services are subject to their providers' own terms, privacy practices, availability and technical requirements.

To the fullest extent permitted by law, House of Laurenz is not responsible for outages, account restrictions, policy changes, service failures or other events caused by third-party services outside our reasonable control.

Our Privacy Policy explains what information these services may process in connection with Worth Noting.

10. Changes, updates and availability

We may update, improve, add, remove or discontinue features as Worth Noting evolves.

Changes may be necessary because of operating-system changes, security needs, legal requirements, third-party services, technical limitations or product decisions.

We do not guarantee that Worth Noting or every feature will always be available, compatible with every future device or operating-system version, or operate without interruption.

We will not use a product change to claim ownership of your record.

11. Disclaimers

To the fullest extent permitted by applicable law, Worth Noting is provided on an “as is” and “as available” basis.

To the fullest extent permitted by applicable law, House of Laurenz disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that Worth Noting will be uninterrupted, error-free, completely secure or immune from data loss.

We do not warrant that sync or automatic iCloud backup will always operate, operate on time, detect every failure or carry every change between devices.

Worth Noting is a recordkeeping and reflection tool. It does not provide medical, mental-health, legal, financial, employment or other professional advice. Information presented or resurfaced by the app should not be treated as a substitute for advice from a qualified professional where professional advice is appropriate.

Nothing in these Terms excludes a warranty, guarantee or consumer right that applicable law does not permit us to exclude.

12. Limitation of liability

To the fullest extent permitted by applicable law:

Indirect and consequential losses

House of Laurenz will not be liable for indirect, incidental, special, exemplary, consequential or punitive damages arising out of or relating to Worth Noting, even if we have been advised that such damages are possible.

This may include, where legally characterized as such, lost revenue, lost opportunity, lost profits or loss of goodwill.

Data, devices, sync and iCloud

To the fullest extent permitted by law, House of Laurenz is not liable for loss, corruption, deletion or unavailability of data resulting from:

• a device being lost, damaged, erased, reset or replaced;
• deletion of the app or locally stored data;
• a failure to create or maintain an appropriate backup;
• a deletion that sync carries from one participating device to another;
• an iCloud upload, download or synchronization failure;
• deletion of Worth Noting data from iCloud;
• lack of available iCloud storage;
• Apple Account, device-setting, connectivity or third-party-service problems; or
• another event outside House of Laurenz's reasonable control.

These limitations do not apply where applicable law does not permit them.

Overall liability cap

For all claims relating to Worth Noting that are not otherwise excluded, and for any claim to which an exclusion above cannot lawfully be applied, House of Laurenz's total aggregate liability to you is limited to the greater of:

1. the amount you paid for Worth Noting Pro during the twelve months immediately before the event giving rise to the claim; or
2. fifty U.S. dollars ($50).

Rights that cannot be limited

Nothing in these Terms excludes or limits liability that applicable law does not permit us to exclude or limit, including liability for fraud or other liability that cannot lawfully be waived.

Some states do not permit particular warranty disclaimers or limitations of liability. In those states, the applicable disclaimer or limitation applies only to the maximum extent permitted by law.

13. Ending your use of Worth Noting

You may stop using Worth Noting at any time.

Deleting Worth Noting from a device deletes the Worth Noting app and the record stored locally within it on that device.

Deleting the app does not necessarily delete a copy you previously placed in your iCloud account or a manual backup stored somewhere else.

We may terminate or suspend the license granted under these Terms if you materially breach them.

Ending your use of Worth Noting does not automatically cancel an active Worth Noting Pro subscription. Subscriptions must be managed or canceled through your Apple Account as described in Section 4.

Provisions that by their nature should continue after you stop using Worth Noting, including intellectual-property provisions, disclaimers and limitations of liability, remain in effect.

14. United States availability, governing law and disputes

United States availability

Worth Noting is currently offered for download through the United States App Store.

The Worth Noting website may be accessible from other locations. Website accessibility does not mean that the Worth Noting app is offered for download or supported in every country or region.

Governing law

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules, except to the extent that a non-waivable law of your U.S. state of residence requires otherwise.

Where disputes are heard

Any court action arising out of or relating to Worth Noting or these Terms must be brought in the state courts located in Miami-Dade County, Florida, or in the United States District Court for the Southern District of Florida, as applicable.

You and House of Laurenz consent to the personal jurisdiction and venue of those courts.

This section does not take away any non-waivable right you have under applicable law to bring a claim in another forum.

15. General terms

Severability. If a provision of these Terms is held unenforceable, the remaining provisions remain in effect, and the unenforceable provision will apply to the maximum extent permitted by law.

No waiver. A failure to enforce a provision of these Terms is not a waiver of that provision or of our right to enforce it later.

Assignment. You may not assign your rights under these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization or sale of all or substantially all of the business or assets associated with Worth Noting, subject to applicable law.

Entire agreement. These Terms, Apple's Standard EULA and the applicable App Store purchase terms constitute the agreements governing your use and licensing of Worth Noting. Our Privacy Policy describes our information-handling practices and is not itself part of this agreement unless applicable law provides otherwise.

16. Changes to these terms

We may update these Terms when Worth Noting, applicable law or our business practices change.

The effective date at the top identifies the current version.

If a change is material, we will provide notice in the app or by another reasonable method. If applicable law requires renewed consent to a change, we will ask for it before the change applies to you.

Changes apply prospectively unless applicable law permits otherwise.
